1. Acceptance of Terms

By accessing or using Transmuter ("the Service"), operated at transmuter.3mergen.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. By creating an account, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms.

2. Service Description

Transmuter is an AI-powered platform that transforms business plans into deployed, production-ready software products through a process called "Plan Casting." The Service uses artificial intelligence agents to analyze your business plan, generate technical specifications, produce source code, run quality audits, and deploy the resulting application.

The Service is provided "as is." While we strive for high quality, AI-generated output may contain errors, require review, and may not be suitable for all use cases without modification. You are responsible for reviewing, testing, and validating all generated code and artifacts before production use.

3. User Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use of your account.

Each user is automatically assigned a personal organization upon signup. You may create additional organizations and invite team members according to your plan tier. You are responsible for managing access and permissions within your organizations.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Generate malicious software, malware, or code intended to cause harm.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service itself (not the code generated for you).
  • Overload the Service with automated requests beyond normal usage patterns or circumvent rate limits.
  • Upload business plans containing illegal content, hate speech, or content that infringes on others' intellectual property.
  • Share account credentials with third parties or resell access to the Service.
  • Interfere with the security or integrity of the platform.

We reserve the right to suspend or terminate accounts that violate these restrictions.

5. Intellectual Property

5.1 Your Content

You retain all ownership rights to the business plans and content you upload to the Service. By uploading content, you grant Transmuter a limited, non-exclusive license to process your content solely for the purpose of delivering the Service (i.e., generating your product).

5.2 Generated Output

Code, specifications, and artifacts generated by the Service for your projects belong to you. The generated code is delivered to your GitHub repository and deployed to your infrastructure. You have full ownership and may use, modify, distribute, or license the generated output without restriction.

5.3 Our Platform

The Transmuter platform, including its software, AI models, prompts, workflows, user interface, documentation, and branding, remains our intellectual property. Nothing in these Terms grants you any rights to the Service's underlying technology.

6. Payment Terms

The Service offers tiered subscription plans: Starter, Pro, and Enterprise. Pricing details are available on our Pricing page.

  • Billing: Subscriptions are billed monthly or annually through Stripe. By subscribing, you authorize us to charge the payment method on file.
  • Plan changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated charges. Downgrades take effect at the end of the current billing cycle.
  • BYOK mode: Bring Your Own Key plans have reduced subscription fees because you pay AI providers (e.g., Anthropic) directly for token usage.
  • Refunds: Subscription fees are generally non-refundable. If you believe you are entitled to a refund, contact us within 14 days of the charge.
  • Failed payments: If a payment fails, we will notify you and provide a grace period before suspending access to paid features.

7. Limitation of Liability

To the maximum extent permitted by law, Transmuter and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total aggregate liability for all claims arising under or relating to these Terms shall not exceed the total amount you paid to Transmuter in the 12 months preceding the claim.

You acknowledge that AI-generated code may contain bugs, security vulnerabilities, or errors. You are solely responsible for reviewing, testing, and securing all generated output before deployment to production environments.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error- free, or that any defects will be corrected. We do not guarantee the accuracy, completeness, or usefulness of any AI-generated output.

9. Termination

You may terminate your account at any time from your account settings. Account termination initiates a 30-day soft-delete grace period during which you can cancel the deletion and restore your account.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk to the platform. We will make reasonable efforts to notify you before or promptly after taking such action.

Upon termination, your right to use the Service ceases. Generated code that has already been pushed to your GitHub repository and deployed to your infrastructure remains yours. Data stored within the Transmuter platform is handled according to our data retention policy described in our Privacy Policy.

10. Indemnification

You agree to indemnify and hold Transmuter harmless from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of the State of Delaware.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date and by sending a notification to the email address associated with your account. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
